Don S. Hershman has extensive experience with respect to corporate finance matters, mergers and acquisitions, and other business and financial transactions. Don represents a wide range of clients, both closely and publicly held, involved in numerous industries including manufacturing, technology, investment banking, distribution and real estate. Don’s mergers and acquisitions practice encompasses stock and asset acquisitions and divestitures; management and leveraged buyouts; and contests for corporate control, including tender offers and proxy solicitations. Don also serves as outside general counsel to many of the firm’s clients.
In the area of securities law, Don’s work includes private equity and venture capital financings; public and private REITS; and counseling clients concerning governance matters, executive compensation, fiduciary duties and strategic planning.
IN THE PROFESSION
A member of the American Bar Association (Section of Business Law) and the Illinois State and Chicago Bar Associations, Don is also a registered Certified Public Accountant in Illinois. He has been recognized by the Leading Lawyers Network as a top Illinois lawyer in the areas of corporate finance, mergers and acquisitions and securities and venture finance (2007-2010). Don contributed to the Governance and Oversight section of the 2008 edition of the Family Business Shareholder’s Handbook. His chapter, “Professionalize Your Family Firm,” examines how instituting effective governance and managing family dynamics can help companies improve performance and plan for succession.
IN THE COMMUNITY
Don was co-founder of The Sterny Way Foundation, an organization whose principal purpose is to provide need-based funding for children to support their participation in school and/or community sponsored athletic programs. The Foundation expresses a “pay it forward” philosophy by providing assistance to those student athletes whose opportunity to partake in sports is diminished because of economic hardship. The Foundation was formed in honor of Gregg Sternaman, a football and baseball coach at Highland Park and Libertyville High Schools.
Don also helped create a program which awards scholarships to two University of Illinois College of Business honor students annually. Don is a member of the Cystic Fibrosis Foundation-Greater Illinois Chapter.
